股东大会由全体股东组成，是公司的最高权力机构。分为年度股东大会和临时股东大会。年度股东大会每年召开一次，应当于上一会计年度结束后的6个月内举行。临时股东大会则会在特殊情形时在法律规定期限内召开。股东会的议案投票通过与否并非取决于投票股东人数，而是由投票股东的持股比例加起来是否超过全部股权的半数来决定。在某些国家如美国，部份股东如创业时的股东，可以在股东大会获得比他们的持股比例更高的投票权，例如持有一股股票却拥有两股股票的投票权。一般而言，股东会皆由公司的负责人（如董事长）亲自主持。
